Founding Contributor Data License

The standard terms on which we receive and use the event records you contribute. Identifiable in, de-identified out.

These are the standard terms on which STO Intelligence LLC (“STO Intelligence”, “we”, “us”) receives and uses operational event data contributed by an operating company (the “Contributor”, “you”).

They are published so that you can read them before you send anything. They take effect between us as Schedule A to the mutual non-disclosure agreement we sign with you, and the signed version names your company. Nothing here obliges you to provide any data. These terms apply to what you actually provide, and they take effect when you provide it.

Definitions

  • “Operational Event Data” means the structured record of a shutdown, turnaround or outage event: planned and as-built schedules and schedule files, gate and equipment logs, change orders, daily and shift reports, scope registers and work lists, and the cost, duration, resource and outcome data associated with the event.
  • “Uploaded Documents” means files supplied as documents rather than as structured event data, including procedures, drawings, standards, specifications, reports and correspondence.
  • “Personal Data” means information relating to an identified or identifiable individual, including names in rosters and attendance records and any interview recording or transcript.
  • “Contributed Data” means Operational Event Data you actually provide to us. It does not include Operational Event Data you hold but do not provide.
  • “Benchmark Products” means our independent benchmark of shutdown, turnaround and outage performance (STO·INDEX), our predictive and analytic models (STO·FORE, an emerging capability), and the aggregated results derived from them.

When these terms apply

We build and operate an independent benchmark of shutdown, turnaround and outage performance. Where you provide Operational Event Data to us, whether for an assessment, a demonstration, an engagement or as a founding contributor, that data is Contributed Data and these terms apply to it.

Contribution is the basis of participation in the benchmark rather than an optional element alongside it. Every participating organization contributes its event record, and in return is able to measure itself against the pooled result.

The license you grant

In consideration of the access and analysis we provide, you grant us a worldwide, royalty-free, perpetual and, except as clause 06 provides, irrevocable license to use, host, reproduce, normalize, combine and analyze the Contributed Data, including in identifiable form within our systems, to build, train, operate and improve the Benchmark Products.

This license extends only to Operational Event Data you actually provide to us, and to no other data of yours however held or however disclosed.

We hold Contributed Data confidentially and attributably inside our own systems. Identifying detail is retained deliberately and only internally, because events cannot be normalized across operators, and a contributor cannot be shown where it stands, without it.

How your data is protected on the way out

Protection is applied to what leaves us, not to what enters us. Accordingly:

  • no contributor’s Contributed Data is disclosed to any other contributor or third party in a form traceable to that contributor;
  • results derived from the Benchmark Products are published or shared only in aggregated, de-identified form;
  • an aggregated result is suppressed where the cohort behind it comprises fewer than five (5) contributing organizations, so that a small cohort cannot be reverse engineered; and
  • we do not sell, license or otherwise make available the raw Contributed Data of any contributor.

What these terms do not reach

Uploaded Documents. This license grants no rights over Uploaded Documents. They remain walled to your own engagement and are never pooled.

Personal Data. Personal Data is not contributed to, used in, or retained within the Benchmark Products.

Gate logs and individual identifiers. Gate logs and similar attendance records commonly carry individual names or badge numbers. We do not need them. The craft, the hours and the dates carry the meaning, and you are welcome to remove the person before you send the file. Where individual identifiers do reach us, they are held as your confidential information under the agreement, they are not used in or retained within the Benchmark Products, and they are removed from the working record once the event is normalized.

Uploaded Documents and Personal Data both remain your confidential information under the agreement.

Deletion, and what cannot be undone

On written request we will delete your raw Contributed Data within thirty (30) days, other than routine backup copies that are not readily accessible and expire on their ordinary cycle.

Aggregated, de-identified results and trained models that your data has already informed are not traced back or unwound, because doing so is not technically possible without corrupting the record of every other contributor. Deletion of raw data is available. Retroactive withdrawal from the benchmark is not.

What you receive

The consideration for the license in clause 03 is the access, analysis and advisory work we provide in connection with the purpose for which you contributed, whether or not a fee is charged for it.

We also operate a founding contributor program, which carries its own commercial terms. Participation in it is granted only by separate written designation, and is not conferred by these terms or by any single contribution of data. We make no representation as to when any particular metric, cohort or comparison will be available.

Ownership

The Benchmark Products, including all aggregated results, indices, models and derived work product, are and remain our exclusive property. You retain all right, title and interest in your own Contributed Data. These terms transfer ownership of neither.

Relationship to your other agreements

These terms apply from the date of signature and survive expiration or termination of the non-disclosure agreement they form part of. Where we later enter into a master services agreement, terms of use, or other written agreement addressing the same subject matter, that agreement governs to the extent of any conflict.

What you confirm about what you send

You confirm that you have the right to provide the Contributed Data for the purposes described in these terms, including where those records contain information about, or generated by, your contractors, vendors or other third parties, and that you will give any notice and obtain any consent your own agreements or applicable law require before providing it.
